ParityVend EULA and Terms of Usage

Introduction

Thank you for choosing ParityVend (the “Software”), a product of American Best Technologies Company LLC (Ambeteco). This EULA and Terms of Usage agreement (the "Agreement") outlines the terms and conditions under which you are permitted to use the ParityVend software. By using ParityVend, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement.

License

• Grant of License: Ambeteco grants you a non-transferable, non-exclusive license to use the ParityVend software, including its components (ParityVend No-Code, ParityVend API, ParityVend Dashboard) and functionalities, solely for the purposes permitted by your chosen billing plan. You may utilize the software as an individual, sole proprietor, or authorized representative of a business entity, solely for internal business purposes. Integration of ParityVend into your website is permitted under the terms of your plan and applicable usage limitations.

• Technical Requirements: You are solely responsible for ensuring your website and device meet the technical specifications necessary to run ParityVend correctly. These requirements may vary depending on the features and functionalities you utilize within your chosen billing plan. Ambeteco provides readily available documentation outlining the requirements for each ParityVend component (No-Code, API, Dashboard), which you are advised to consult before initiating integrations or utilizing advanced features.

• License Modifications: Ambeteco reserves the right to modify, update, or discontinue specific software functionalities or features at any time without prior notice. This may involve introducing new features, modifying existing ones, or even permanently removing functionalities. While Ambeteco strives to prioritize the needs of its users and minimize disruptions, such modifications are occasionally necessary to maintain software stability, enhance security, or improve overall performance. Ambeteco reserves the right to suspend, terminate, or modify individual licenses and associated rights for cause, such as violation of this Agreement, non-payment of applicable fees, the possibility of disruption to the integrity of the company, or other reasons that may potentially cause harm to the Company.

Restrictions

To ensure the integrity, security, and proper functioning of ParityVend, the following restrictions apply:

• Restrictions related to the "Free" plan
• ParityVend branding requirement
  This restriction applies to accounts that utilize the ParityVend "Free" plan or any other plans that are subject to this requirement, as explicitly stated in the plan's description. Accounts falling under this category are required to display ParityVend branding on each page where ParityVend services are used or accessed.
  
  Branding Text: The ParityVend branding must include a clear and explicit statement that your website, service, or application uses ParityVend to provide enhanced pricing experiences for users. Additionally, it should briefly explain ParityVend's purpose. An example of such branding text can be found in ParityVend's No-Code branding text: "This fair pricing is powered by ParityVend. Take your business global with ParityVend's automatic geographical pricing."
  
  Automatic Inclusion: For accounts using the ParityVend No-Code solution, ParityVend will automatically include the branding text in your banner. No additional action is required from your end.
  
  Manual Compliance: Accounts using the ParityVend API must comply with this requirement manually. This includes incorporating the branding text on each page that uses or displays data powered by the ParityVend API. The branding text must be fully visible, not hidden, truncated, or otherwise diminished in readability. It should be located in a place on the page where users can easily read it.
  
  Prohibited Actions: You must not take any steps to hide, intercept, remove, delete, or otherwise obscure the branding text.
  
  Consequences of Non-Compliance: Failure to adhere to this requirement will result in a preliminary warning, following which you will be required to address the issue by including the branding text correctly, as described in this restriction. Continued non-compliance may result in the suspension, termination, or restriction of your access to ParityVend, which may be permanent.

• Prohibition of Software Alteration:
• No Modifications: You are not authorized to make any changes to the Software, whether through editing, altering, modifying, adapting, patching, translating, or any other means. This includes both the whole Software and any of its individual components. 
• No Reverse Engineering: Attempts to decompile, disassemble, unpack, repack, or reverse engineer the Software are strictly prohibited. This restriction safeguards the proprietary nature of the Software's source code and functionality. This includes any attempts to access or modify the source code.

• Prevention of Unauthorized Use:
• No Illegal Activities: The Software may not be used for any purposes that are considered illegal under applicable laws. This includes, but is not limited to, activities such as spamming, phishing, or disseminating harmful content. 
• No Sub-Services or Clones: The Software may not be combined with any other software to create derivative works, sub-services, or cloned versions. 
• No Commercial Exploitation: The ParityVend is strictly for your personal or business use. You are not permitted to reproduce, copy, distribute, share, or resell the Software for any commercial or noncommercial purposes without explicit written consent from the owner.
• No Third-Party Access: The Software is licensed solely for your use. You may not allow any third party, whether an individual or an entity, to use the Software on their behalf or for their benefit.

• Protection of Systems and Integrity: 
• No System Abuse: Any attempts to exploit or hack the ParityVend systems for any gain or profit are strictly prohibited and may result in severe legal consequences. Tying to exploit or compromise the stability or integrity of ParityVend or abuse its systems is strictly prohibited.
• No Billing Circumvention: Creating multiple free accounts to bypass billing plans is a violation of this Agreement and undermines the financial sustainability of ParityVend. Each entity using the ParityVend "free" billing plan must have no more than one active account with the "free" billing plan selected.
• No Sabotage: Performing any actions that could sabotage the stability or integrity of ParityVend or abuse its systems is strictly prohibited. Actions that could jeopardize the stability or integrity of ParityVend's systems, including, but not limited to, intentionally introducing malware, engaging in any form of unauthorized access or interference with the software, or overloading servers, are strictly prohibited. 
• No Violation of Laws: The Software must be used in compliance with all applicable laws, including those governing intellectual property, data protection, and online conduct.

• Unauthorized access: You are prohibited from gaining unauthorized access to any accounts, data, or systems related to ParityVend. This includes attempting to bypass security measures or impersonating other users.

• Fraudulent Activities:
• Fake Accounts: Creating multiple accounts or providing false information to create an account is prohibited. Any attempt to manipulate the system or bypass verification processes is prohibited.
• Fake Transactions: Engaging in any activity designed to deceive or defraud other users or ParityVend itself is strictly forbidden. This includes creating fake or unauthorized transactions, manipulating pricing or data, and using the platform for money laundering or other illegal activities.
• Misrepresentation: You may not misrepresent your identity, purpose, or intentions while using ParityVend. Impersonating another person or claiming to be affiliated with ParityVend without authorization is not allowed.

• Prohibited or Offensive Content:
• Prohibited content: You must not use ParityVend to display or distribute any content that is unlawful, offensive, defamatory, or infringes upon the intellectual property rights of others.
• Hate Speech: You may not use ParityVend to share or promote content that incites violence or hatred against individuals or groups based on their race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic. This includes hateful language, imagery, and symbolism.
• Harassment and Bullying: Threatening, intimidating, or otherwise harassing behavior towards other users is strictly forbidden. This includes bullying, cyberbullying, stalking, and making offensive or unwelcome comments.
• Obscene or Indecent Content: Sharing or posting content that is sexually explicit, violent, or otherwise considered obscene or indecent is not permitted. This includes pornographic material, graphic violence, and content that exploits, abuses, or endangers children.
• Defamation and Libel: You may not use ParityVend to make false or misleading statements about other individuals or entities that could damage their reputations.

Account suspension and termination

Ambeteco reserves the right to take the necessary actions to protect its platform, users, and itself from harm. The Company can suspend, terminate, restrict, or permanently terminate any account using ParityVend in response to a violation of this Agreement or for other reasons that may pose a risk to the Company, potentially harm it, or pose any kind of damage to Ambeteco. This includes the right to:

• Suspend, terminate, or restrict access: In the event of a violation of these Terms of Service or any applicable laws, we may suspend, terminate, or restrict your access to ParityVend, either temporarily or permanently. This includes, but is not limited to, situations where you engage in prohibited activities, provide false information, or pose a threat to the platform’s integrity or its users.
• Perform restrictive measures: Beyond termination, we may also take other restrictive measures in response to violations or potential harm. This could include limiting your account functionality, removing harmful content, issuing warnings, or blocking specific actions.
• Act on independent judgment: The determination of whether to take action and the nature of such action will be made by Ambeteco at its sole discretion. We are not obligated to provide a reason or justification for taking action, but we may choose to do so in some cases.

Other Information

• Changes to ParityVend: Ambeteco is constantly innovating and evolving to improve ParityVend and tailor it to your needs. Therefore, we reserve the right to modify the specifications, functionality, features, and other core aspects of the Software at any time. While we strive to minimize disruption, some changes may occur without prior notice. We believe these changes will ultimately enhance your experience and provide you with even greater value. However, we encourage you to regularly review these Terms of Service and check our official channels for updates on upcoming changes or feature additions.

• Ownership of ParityVend: Ambeteco is the sole and exclusive owner of ParityVend, including all its names, technologies, and underlying software. This includes the user interface, design elements, functionalities, algorithms, integrations, client libraries, SDK, and intellectual property inherent within the Software. You acknowledge and agree that you are granted a non-exclusive, non-transferable license to use the Software under the terms outlined in this Agreement. This license does not grant you any ownership rights to ParityVend or its components.

• Feedback and Suggestions: We value your feedback and suggestions! If you have any ideas on how we can improve ParityVend, please feel free to share them with us through our dedicated feedback channels. We appreciate your contributions and will consider them seriously as we continue to develop and refine the platform.

Liability

Ambeteco disclaims any responsibility for any damage, malfunctions, loss, injury, lost profits, lost revenues, downtime, or any consequential damages or costs of any other type of harm that could potentially be caused to users of ParityVend or visitors of websites where ParityVend is integrated. You agree to hold harmless Ambeteco and its affiliates from and against all claims, demands, actions, suits, and proceedings (including any related costs and expenses) brought by any third party arising out of, or in connection with, your use of ParityVend or your violation of the Agreement.

Intellectual Property and Ownership

• Ambeteco retains full ownership of the Software, including all original and subsequent downloads and any modifications made to it.
• Ambeteco reserves the right to grant or revoke licenses to use the Software to any third party.
• Ambeteco is not responsible for making changes or improvements to the Software to meet specific user needs or desires.
• Ambeteco is not responsible for any harm caused by the use of ParityVend, whether intentional or unintentional nor for any configurations made by users.

Termination

• This Agreement is effective from the date you first use the Software and continues until terminated.
• You may terminate it at any time upon written notice to Ambeteco.
• It will terminate immediately if you fail to comply with any terms of this Agreement.
• Upon termination, all licenses granted under this Agreement will immediately terminate, and you agree to stop all access and use of the Software.

Governing Law

This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the United States of America. Any disputes are recommended to be addressed to Ambeteco's mailing address (7 Rosewood, Aliso Viejo, 92656, CA) before procedural arbitration.
